V OFFICERS AND DIRECTORS The name of this organization shall be the Carnival Association of Long Beach, Inc *, Hereinafter referred to as the Carnival Association of Long Beach in reference to business matters. *(Charted by the State of Mississippi, 28 March 1977) To exercise, promote, and protect the privileges and
interests of Any adult, eighteen (18), years of age or older, of good moral character and of good standing in the community, shall be eligible to acquire Membership in this Organization; provided further that Membership be by invitation only and may be forfeited as provided in the bylaws of this Organization. The Management and Government of this Organization shall be vested in a Board of Directors consisting of the Officers as elected by the Organization. ARTICLE V OFFICERS AND DIRECTORS The Elected Officers of this Organization shall be President, Vice-President, Secretary and a Treasurer. An Annual Meeting for election of Officers and Directors will be held on the Second Tuesday of April. There shall be such other General, Regular, or Special meetings as may be fixed by the Bylaws of this Organization. All Meetings shall be governed by Roberts Rule of Order, Newly Revised, when not in conflict with the Bylaws of this Organization. This Constitution may be amended at any Meeting of which membership has been notified, provided the basic Purpose of the Organization is not Amended, and shall require a Two-Thirds vote. This Constitution becomes effective immediately upon its adoption by a Majority vote of the Membership of this Organization in attendance at a Meetings called for said purpose. This Constitution supercedes all previous Constitutions and Amendments thereto, which are hereby repealed. ADOPTED THE 9TH DAY OF OCTOBER, 1979 AMENDED THE 8TH DAY OF APRIL, 1986 AMENDED THE 30TH DAY OF APRIL, 1991
