ARTICLE I – NAME:

 

The name of this organization shall be the Carnival Association of Long Beach, Inc *, Hereinafter referred to as the Carnival Association of Long Beach in reference to business matters.

ARTICLE II – PURPOSE:

To exercise, promote, and protect the privileges and interests of St. Thomas Elementary School and the community served thereby; to develop good citizenship; to provide competent education for the citizens of the community; and to do all things necessary and appropriate in carrying out and exercising the foregoing purposes and powers.

 

ARTICLE III – MEMBERSHIP

Any adult, eighteen (18), years of age or older, of good moral character and of good standing in the community, shall be eligible to acquire Membership in this Organization; provided further that Membership be by invitation only and may be forfeited as provided in the bylaws of this Organization.

 

ARTICLE IV – GOVERNMENT

The Management and Government of this Organization shall be vested in a Board of Directors consisting of the Officers as elected by the Organization.

 

ARTICLE V – OFFICERS AND DIRECTORS

The Elected Officers of this Organization shall be President, Vice-President, Secretary and a Treasurer.

 

ARTICLE VI – MEETINGS

An Annual Meeting for election of Officers and Directors will be held on the Second Tuesday of April. There shall be such other General, Regular, or Special meetings as may be fixed by the Bylaws of this Organization.

 

ARTICLE VII – PROCEDURE

All Meetings shall be governed by “Roberts Rule of Order, Newly Revised”, when not in conflict with the Bylaws of this Organization.

 

ARTICLE VIII – AMENDMENTS

This Constitution may be amended at any Meeting of which membership has been notified, provided the basic Purpose of the Organization is not Amended, and shall require a Two-Thirds vote.

 

ARTICLE IX – ENACTMENT

This Constitution becomes effective immediately upon its adoption by a Majority vote of the Membership of this Organization in attendance at a Meetings called for said purpose. This Constitution supercedes all previous Constitutions and Amendments thereto, which are hereby repealed.
